In order for the global energy system to make the transition from a carbon-based grid, to a renewable energy grid, large scale energy storage must be introduced into the electricity system to balance intra-hour supply and demand. Energy storage is the enabler of high penetration variable renewable generation like solar and wind.
We are looking for an Associate General Counsel, Origination & Commercial to join the Legal Team (with a cross-functional relationship to the Origination & Commercial Team). This qualified individual will work under the guidance of the General Counsel and provide legal advice/support to the Origination & Commercial Team with respect to utility-scale standalone storage projects across North America.
Key Responsibilities
Partner with Origination and Commercial Team in negotiation of offtake agreements, including tolling agreements and other structured offtake
Support the Origination and Commercial Team in conducting due diligence and negotiations on M&A opportunities
Support the Origination and Commercial Team in reviewing request for proposals and developing comprehensive bid submittals, including markups of key agreements
Function as an internal quarterback for offtake transactions, soliciting feedback and review of documents from subject matter experts and incorporating feedback into the deal structure and documents
Support the Finance Team (in conjunction with the Origination and Commercial Team) to provide commercial inputs/deliverables in connection with project finance transactions
Oversee Outside Counsel on select transactions and assist in the selection of such outside counsel
Skills & Qualifications
J.D., Required
Minimum 3-4 years of top-tier law firm experience working with (renewable) energy project development
At lease 1-2 years of in-house legal experience with a renewable energy/standalone energy storage developer or investor-owned utility, focusing on resource procurement and M&A preferred
Experience leading negotiations of power purchase agreements
Experience structuring and negotiatingproject-scale M&A transactions
Knowledge of project finance structures and implications on project development/M&A transactions
Strong business acumen with excellent commercial judgment
Highly organized with impeccable attention to detail
Ability to effectively manage multiple priorities and deliver timely, high-quality results
A collaborative, entrepreneurial, and inquisitive mindset
Ability to effectively use Microsoft Office products – Word, Excel, Power Point
Demonstrated ability to work collaboratively and effectively in a cross-functional environment with both technical and non-technical team members who are geographically dispersed
Compensation, Location, and Benefits
Highly competitive total compensation from one of North America’s leading energy storage developers, owners and operators. Flexible, work from home or hybrid work from Plus Power’s offices in San Francisco, Houston, Chicago, Seattle, and Palm Beach.
The expected salary range* for this position begins at $250,000. We may ultimately pay more or less than the posted range based on several factors including, but not limited to relevant experience, skills, qualifications, geographic labor market, and other factors consistent with applicable law. This position is also eligible to participate in our annual bonus program.
