About the Firm
Fisher Corporate Law is a boutique corporate transactional practice based in Durham, NC. We advise privately held businesses, founders, growth-stage companies, and in-house legal teams on entity formation, corporate governance, venture financings, equity compensation, commercial contracts, M&A, and outside general counsel matters. The firm is led by an attorney with 20+ years of experience and is built on a lean, high-leverage, technology-forward model.
This is a strictly corporate and transactional practice. We do not handle litigation, family law, personal injury, criminal, or immigration matters. Candidates whose experience is exclusively litigation are not a fit for this role.
The Role
We are hiring a part-time paralegal / legal assistant to support the firm on an ongoing basis. This is a true hybrid position, roughly half substantive corporate paralegal work and half legal assistant and front-office support. If you are looking for a pure paralegal role, this is not it. The work is filing-heavy and deadline-driven. A typical week moves between forming and maintaining entities across several states, preparing securities notice filings, updating cap tables, assembling closing sets, and keeping the front office running. Reliability with deadlines and comfort switching contexts matter more here than any single specialty.
What You Will Do
- Corporate and securities filings (the core of the role). Prepare and submit entity formations, conversions, foreign qualifications, annual reports, and ongoing entity maintenance across multiple states' Secretary of State systems. Prepare federal Regulation D (Form D) filings and the corresponding state blue sky notice filings on their filing clocks. EDGAR familiarity is a plus.
- Cap table and corporate records. Maintain and update cap tables in Carta. Build and maintain minute books and corporate records, including records cleanup on entities with incomplete histories. Assemble closing binders and signature packages.
- Transactional drafting support. Prepare and assemble template-based corporate documents: board and stockholder or member consents, PIIAs, offer letters, and similar recurring instruments, working from firm templates and attorney direction.
- Legal assistant and front office. Handle client intake, run conflicts checks, manage scheduling and deadlines, prepare and send invoices (PracticePanther, Harvest), and manage phone and correspondence.
Structure and Logistics
This is an independent contractor (1099) engagement. You set your own hours within reason, use your own equipment, remain free to take on other clients, and are responsible for your own taxes. The engagement does not include employee benefits.
- 10-20 hours per week, with room to grow as the firm's workload does.
- Generally remote. You should be located reasonably close to the Triangle so we can meet in person occasionally.
- A dedicated desk at a coworking space in RTP is available to you if you would like one.

Requirements
- 3+ years of corporate and transactional experience in a law firm or in-house setting. This is a hard requirement, and litigation-only backgrounds are not a fit.
- Comfort learning and working within multiple states' online Secretary of State filing portals.
- Microsoft Office proficiency, particularly Word and Excel (required).
- Tech-forward and comfortable working alongside an AI-assisted drafting workflow. The firm uses Claude extensively, and the right candidate sees that as an advantage, not a threat.
- Strong ownership of deadlines and the judgment to flag issues early.
Pluses (not required): securities notice filing experience (Form D and state blue sky); Carta; PracticePanther; EDGAR; multi-state entity formation and maintenance; a paralegal certificate or NC Certified Paralegal (NCCP) credential.
